1) Acceptance of terms
By accessing or using the Services, you accept and agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to the organization. If you do not agree, do not use the Services.
2) Eligibility & accounts
- You must be at least the age of majority in your jurisdiction and able to form a binding contract.
- You must provide accurate registration details and keep your account information up to date.
- You are responsible for maintaining the confidentiality of your login credentials and API keys and for all activities under your account.
3) Wallets & custody
The Services interface with your Litecoin node/wallet infrastructure. Toolfuz does not take custody of your funds or hold your private keys. You are solely responsible for the security and management of your wallets, addresses, and private keys, as well as any losses that may result from misuse, misconfiguration, or compromise of your systems.
4) Subscriptions & billing
- Paid plans are billed on a recurring basis (monthly or annually) unless canceled before the renewal date.
- Plan quotas, features, and prices may vary. We may update plan details; material changes will be communicated.
- Crypto payments settle on-chain; an invoice is marked active when the required confirmations are detected.
- Except where required by law, fees are non-refundable once a billing period has started.
5) Invoices, confirmations & settlement
- You are responsible for providing end customers any disclosures, receipts, or tax documents as required by law.
- We display network confirmations and status for convenience; finality depends on the Litecoin network.
- Network delays, forks, or congestion may affect detection and settlement times.
6) API, webhooks & keys
- We grant you a limited, revocable, non-exclusive license to use our APIs to integrate the Services.
- You must keep API keys secret, rotate them if compromised, and restrict them per best practices.
- You are responsible for webhook endpoints you operate; implement verification (HMAC), retries, and idempotency.
- You must not reverse engineer, scrape, or abuse the APIs.
7) Quotas, rate limits & fair use
Plans include request and/or monthly usage quotas, plus real-time rate-limits to protect the platform. We may throttle or block traffic that exceeds limits or degrades stability. Contact support for higher limits.
8) Prohibited use
You agree not to use the Services for activities that are illegal, harmful, or abusive, including:
- Money laundering, sanctions evasion, terrorist financing, or other unlawful conduct.
- Fraud, phishing, malware, spam, DDoS, unauthorized scans, or intrusion attempts.
- Handling or promoting content that is unlawful or violates third-party rights.
9) Intellectual property
We retain all rights, title, and interest in and to the Services, including software, documentation, branding, and content, except for third-party components used under license. You may not remove notices, copy, or create derivative works except as allowed by applicable open-source licenses or with our prior written consent.
10) Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE.
11) Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Toolfuz AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
12) Indemnification
You agree to defend, indemnify, and hold harmless Toolfuz and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your content or integrations, or your violation of these Terms.
13) Suspension & termination
We may suspend or terminate access to the Services immediately for violations of these Terms, suspected fraud, security risks, unpaid fees, or as required by law. You may cancel at any time via the dashboard; cancellation takes effect at the end of the current billing period unless stated otherwise.
14) Governing law
These Terms are governed by the laws applicable to our principal place of business, without regard to its conflict of law rules. Venue for disputes will be the courts located there, unless another forum is required by mandatory law.
15) Changes to the Services/Terms
We may modify the Services and these Terms from time to time. Material changes will be posted here and/or communicated by email or in-product notice. Your continued use after changes take effect constitutes acceptance.
